SECTION 8 COMPANY

A company can be registered for charitable purposes with the object of not making any profits. These companies are basically called Section 8 company or NGO company.

This is subject to the provisions of Section 8 of the Companies Act, 2013. Hence, these companies are generally called Section 8 companies and are formed to promote commerce, science, art, religion, charity or other socially useful objectives.

A Section 8 company shall not pay any dividend to its members, but apply the surplus of receipts over payments for promotion of its objectives.

These companies need not use the words limited or private limited after their name and are generally registered as guarantee company with limited liability with or without capital. Such companies can be private or public depending on the number of persons involved

    REQUIREMENTS

    For registration of Section 8 Company certain requirements should be complied with.

    Directors

    There should be two minimum 2 directors and the maximum can be 15 directors. Out of which one must be resident.

    Shareholders

    Minimum 2 directors. Even another Private limited company or LLP can also be the shareholders in the company.

     Capital contribution

    These companies are generally registered as Guarantee Company with limited liability with or without capital.

    1. PAN Card or Passport (Foreign National & NRI)
    2. Voter’s ID/Passport/Driver’s License
    3. Latest bank statement/telephone or mobile bill/electricity or gas bill
    4. Passport-sized photograph specimen signature
    1. Rental agreement in English language in case of rented building
    2. Sale deed/property deed in English (in case of owned property)
    3. Latest bank statement/telephone or mobile bill/electricity or gas bill
    4. No-objection certificate from the property owner
